These Terms of Service ("Terms") are a legally binding agreement between you and Nimint Inc., doing business as nimint ("nimint," "we," "us," or "our"), and govern your access to and use of our website, mobile applications, platform, waitlist, and related services (collectively, the "Services").
By accessing or using the Services, clicking to accept these Terms, creating an account, joining our waitlist, submitting information to us, or otherwise interacting with the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
You may use the Services only if:
1. you are at least 18 years old;
2. you have the legal capacity to enter into a binding agreement;
3. you are using the Services for lawful business or personal purposes related to the Services; and
4. you are not barred from using the Services under applicable law.
If you use the Services on behalf of a company, agency, or other entity, you represent and warrant that you have authority to bind that entity to these Terms, and "you" includes that entity.
nimint provides a technology platform and related services designed to help eligible users manage invoices, submit transaction information, access payout-related products, interact with payments infrastructure, and use related financial workflow tools.
Depending on the stage of our product and the features available to you, the Services may include:
1. joining a waitlist or requesting access;
2. creating an account and completing onboarding;
3. submitting invoices, agreements, campaign details, payment information, and related materials;
4. reviewing transaction, receivable, or payout opportunities;
5. connecting bank accounts or third-party providers;
6. receiving communications, support, and product updates; and
7. using informational, administrative, and workflow tools related to creator or agency payments.
Not all Services are available to all users, and any product or feature may be changed, delayed, limited, or discontinued at any time.
Certain products, features, or transactions made available through nimint may be subject to separate agreements, disclosures, consents, or terms, including agreements relating to receivables purchases, payment processing, account connections, transfers, servicing, or partner services ("Product Terms").
If there is any conflict between these Terms and any Product Terms, the Product Terms control for that specific product, feature, or transaction.
nimint is not a bank and does not provide deposit accounts, checking accounts, savings accounts, or FDIC insurance unless expressly stated through a partner financial institution and accompanying disclosures.
Use of the Services does not guarantee that you will be approved for any product, payout, transfer, receivables purchase, or other financial service. Any decision to make a product available is subject to review, verification, eligibility, operational readiness, legal availability, and our discretion or the discretion of our partners.
Nothing in these Terms constitutes a commitment to purchase any receivable, extend credit, provide a loan, or make funds available to you.
To access certain features, you may need to create an account. You agree to provide true, accurate, current, and complete information and to keep it updated.
You are responsible for:
1. maintaining the confidentiality of your account credentials;
2. restricting access to your account and devices;
3. all activity that occurs under your account; and
4. notifying us promptly at hello@nimint.com if you suspect unauthorized access or misuse.
We may require you to verify your identity, business information, authority, or payment information at any time.
You may submit or make available information, files, contracts, invoices, campaign information, transaction data, communications, or other materials through the Services (collectively, "User Content").
You represent and warrant that:
1. you have all rights and permissions necessary to provide the User Content;
2. the User Content is accurate, complete, and not misleading;
3. the User Content does not violate any law or third-party right; and
4. you have obtained any necessary consents from individuals whose information is included in the User Content.
You grant nimint a non-exclusive, worldwide, royalty-free license to host, use, reproduce, transmit, analyze, store, and process User Content as reasonably necessary to provide, operate, secure, improve, verify, underwrite, service, and support the Services and related products.
You authorize nimint and its service providers, partners, and designees to verify information you provide and to obtain, review, use, and analyze information from you, third parties, and public or private sources in connection with:
1. onboarding and account administration;
2. identity verification and fraud prevention;
3. invoice, agreement, and receivable verification;
4. compliance, legal, regulatory, and risk review;
5. servicing, reconciliation, and collections; and
6. product eligibility, pricing, and ongoing monitoring.
By using the Services, you consent to receive communications from nimint electronically, including by email, text message, push notification, or through the Services, as permitted by law. These communications may include service announcements, disclosures, legal notices, security alerts, product updates, and transactional communications.
You agree that electronic communications satisfy any legal requirement that such communications be in writing.
You are responsible for maintaining current contact information and for reviewing communications we send to you.
You agree not to:
1. use the Services for any unlawful, fraudulent, deceptive, or unauthorized purpose;
2. provide false, inaccurate, or misleading information;
3. impersonate any person or entity or misrepresent your affiliation;
4. interfere with or disrupt the Services or related systems;
5. copy, scrape, reverse engineer, modify, or create derivative works of the Services except as allowed by law;
6. bypass or attempt to bypass security measures or access restrictions;
7. upload malware or harmful code; or
8. use the Services in any way that could create legal, compliance, reputational, or operational risk for nimint or others.
Some features or products may involve fees. Any applicable fees will be disclosed to you in connection with the relevant feature, product, or transaction.
You agree to pay all fees you incur through the Services. Unless otherwise stated in writing, fees are non-refundable to the fullest extent permitted by law.
The Services may rely on or integrate with third-party providers, including payment processors, banks or banking partners, identity verification providers, analytics providers, cloud providers, communications vendors, and other service providers.
nimint is not responsible for third-party products or services, and your use of those products or services may be subject to separate terms and privacy policies.
The Services, including all software, technology, designs, text, graphics, interfaces, trademarks, logos, and other nimint content, are owned by nimint or its licensors and are protected by law.
Subject to your compliance with these Terms, nimint grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business or personal use in connection with the Services.
If you provide suggestions, ideas, or feedback regarding the Services, you grant nimint a perpetual, irrevocable, worldwide, royalty-free right to use and exploit that feedback for any lawful purpose without compensation to you.
Your use of the Services is also subject to our Privacy Policy, which is incorporated into these Terms by reference.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, NIMINT DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WITHOUT LIMITING THE FOREGOING, NIMINT DOES NOT WARRANT THAT:
1. THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE;
2. ANY INFORMATION PROVIDED THROUGH THE SERVICES WILL BE ACCURATE OR COMPLETE;
3. ANY FEATURE OR PRODUCT WILL REMAIN AVAILABLE;
4. ANY APPLICATION, SUBMISSION, OR TRANSACTION WILL BE APPROVED; OR
5. ANY PAYMENT, TRANSFER, OR PRODUCT AVAILABILITY WILL OCCUR ON ANY PARTICULAR TIMELINE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NIMINT AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR USE, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF NIMINT FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
1. the total amount you paid to nimint for the specific Services giving rise to the claim in the six (6) months before the event giving rise to the claim; or
2. one hundred U.S. dollars (US $100).
You agree to defend, indemnify, and hold harmless nimint and its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:
1. your use of the Services;
2. your User Content;
3. your violation of these Terms;
4. your violation of law; or
5. your violation of any third-party right.
We may suspend, restrict, or terminate your access to the Services at any time, with or without notice, if:
1. we believe you violated these Terms;
2. we suspect fraud, misuse, unauthorized access, or security concerns;
3. we are required to do so by law or partner requirement; or
4. your use creates risk for nimint or others.
You may stop using the Services at any time. Sections that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, indemnification, dispute resolution, and miscellaneous provisions.
These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles.
Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in New Castle County, Delaware, and each party consents to personal jurisdiction and venue there.
We may update these Terms from time to time. If we make material changes, we will post the updated Terms and revise the "Last Updated" date. Your continued use of the Services after the updated Terms become effective means you accept the revised Terms.
These Terms, together with any Product Terms and policies incorporated by reference, constitute the entire agreement between you and nimint regarding the Services.
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.
Our failure to enforce any provision is not a waiver of that provision.
You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
